You must read these terms and conditions carefully before to using the software and/or registering on the site, and by using the site and/or the software, you agree to accept them. You may not use the site and/or the software if you do not accept these terms and conditions.

Introduction

These are the terms and conditions for using the software provided by the https://proffcus.com/ website (the "Site"). These terms and conditions ("Terms and Conditions") outline the key information you will need to know about the Site and the Software, so please read them carefully. Regardless of whether a person has registered as a User (as defined below in Definitions) or is using the Site as a Visitor (as defined below in Definitions) without registration, these Terms and Conditions are legally enforceable and must be complied with by all users of the Site.

At any moment and without prior notice, these terms and conditions may be altered in whole or in part. The site will be updated with any modifications to these terms and conditions. It is your duty to regularly go over the Terms & Conditions and to stay updated on any modifications. You agree to the updated Terms and Conditions if you keep using the Site and/or the Software after they have been modified. Do not use or access (or continue to use or access) the Site and/or the Software if you do not agree to comply by these or any subsequent Terms and Conditions. Users and visitors from the Site shall be subject to any changes made to the Terms and Conditions posted there.

• Free Trial

• In the event that a subscriber registers on proffcus'S websites for a free trial (also known as a "Trial Account") of one or more services, proffcus will make those services available to the subscriber for free until the earliest of (a) twenty-nine (29) days (the "Evaluation Period"), (b) the beginning of any paid subscription for those services, or (c) termination by proffcus at its entirely discretion. In the event that the Subscriber does not sign up for a paid membership of the Services by the conclusion of the Evaluation Period, the Agreement will immediately expire unless proffcus agrees to extend the Evaluation Period at its sole discretion. Additional terms and conditions could be included on the Trial Account registration page, and they are integrated into

• "WITHOUT ANY KIND OF WARRANTY, ALL TRIAL ACCOUNTS ARE GIVEN AS IS AND AS AVAILABLE." Anytime and for any reason (or no reason at all), trial accounts may be suspended, terminated, or discontinued. For any harm or damage resulting from or connected to a trial account, including any obligation or liability with regard to subscriber data, Offshub disclaims all liability and obligations under the agreement, including liability otherwise specified under Section 13 (Limitation of Liability). If a trial account is suspended, terminated, or discontinued, all subscriber data or configurations entered into it, as well as any customizations made by or for a subscriber, may be permanently lost. Section 16 (Indemnification) of proffcus's indemnity obligations does not apply to

• Fees

• The subscriber will supply correct and up-to-date billing contact information and pay all fees outlined in service orders. All payments due under the Agreement must be paid in US dollars, unless otherwise specified in a service order. Service Order minimum commitments are (a) based on services purchased rather than actual consumption; (b) non-cancelable; and (c) non-decreaseable within the designated term. Minimum commitment fees are non-refundable. Fees paid by subscribers are not (x) reliant on the provision of any future additions or capabilities, nor (y) reliant on claims not made in the Agreement or any Service Order.

• Invoicing Terms

Subscriber will give proffcus a purchase order number in the appropriate amount (or a reasonable alternative proof of Subscriber's ability to pay the fees specified in a Service Order) if the Service Order specifies that payment will be made by a method other than a credit card. Subscriber will also promptly notify proffcus of any changes required for invoice payment. Either monthly or in accordance with the billing frequency specified in the service order, proffcus will send the subscriber an invoice. All other invoices are due net 30 days from the invoice date, with credit card payments due on the invoice date. Without affecting proffcus's rights or remedies, the following may occur if any invoiced amount is not collected by the deadline: (a) such charges may accumulate late

• Acceleration and Service Suspension

proffcus may, without limiting any rights and remedies, accelerate Subscriber's unpaid fee obligations to become immediately due and payable and block the provision of services to Subscriber until the overdue amounts are paid in full if any amount owed by Subscriber is 30 days or more past due (or 15 days or more past due in the case of invoices to be paid by credit card). According to Section 19 (Manner of Giving Notice), proffcus will notify the subscriber at least ten days in advance that the account is past due before denying the subscriber access to the services.
